Maropost Partner Program Terms

Welcome to the Maropost Partner Program (the "Program"). These Terms and Conditions ("Terms") govern your participation in the Program and your use of Maropost's partner resources, APIs, and services.

By participating in the Program, you agree to be bound by these Terms, our general Terms of Service, and our Acceptable Use Policy. If you do not agree to these Terms, you may not participate in the Program.

We may update these Terms from time to time. We will notify you of any material changes by email or through our partner portal. Your continued participation in the Program after such changes constitutes acceptance of the updated Terms.

The Maropost Partner Program is designed to help businesses grow by providing access to Maropost's marketing automation platform, APIs, and partner resources. The Program includes:

• Access to Maropost's API and developer resources
• Partner portal with tools and documentation
• Revenue sharing opportunities
• Marketing support and co-marketing opportunities
• Technical support and training
• Partner certification programs

Partner types include Independent Software Vendors (ISV), Trusted Advisors, and Agency Partners, each with specific benefits and requirements.

To be eligible for the Program, you must:

• Be a legal entity or individual capable of entering into binding agreements
• Have a legitimate business that can benefit from Maropost's services
• Provide accurate and complete information during the application process
• Comply with all applicable laws and regulations
• Not be a competitor of Maropost or have conflicting business interests

All applications are subject to Maropost's review and approval. We reserve the right to reject any application at our sole discretion. Approved partners will receive access to the partner portal and program resources.

As a Maropost partner, you agree to:

• Maintain accurate and up-to-date information in the partner portal
• Use Maropost's APIs and services in accordance with our documentation and guidelines
• Respect Maropost's intellectual property rights
• Maintain the confidentiality of any confidential information shared with you
• Comply with all applicable laws, including data protection and privacy laws
• Provide accurate reporting on your use of Maropost services
• Notify Maropost of any security incidents or data breaches
• Maintain appropriate insurance coverage as required

Maropost retains all rights, title, and interest in and to its platform, APIs, documentation, and other materials provided through the Program. You may not:

• Reverse engineer, decompile, or disassemble Maropost's software
• Create derivative works based on Maropost's intellectual property
• Remove or alter any proprietary notices or labels
• Use Maropost's trademarks or logos without written permission

You retain ownership of any applications, integrations, or other works you create using Maropost's APIs, subject to these Terms and any applicable license agreements.

Eligible partners may receive revenue sharing based on their partner type and performance. Revenue sharing terms are outlined in separate agreements and may vary by partner type.

To be eligible for revenue sharing, partners must:

• Meet minimum performance requirements
• Comply with all Program terms and conditions
• Provide accurate reporting and documentation
• Maintain active partner status

Revenue sharing payments are subject to applicable taxes and will be processed according to the schedule outlined in your partner agreement.

You agree to maintain the confidentiality of any confidential information disclosed to you by Maropost, including but not limited to:

• Technical specifications and documentation
• Business plans and strategies
• Customer information and data
• Pricing and financial information
• Proprietary algorithms and methodologies

You will not disclose confidential information to third parties without Maropost's written consent and will use such information only for the purposes of the Program.

Partners must comply with all applicable data protection laws, including GDPR, CCPA, and other privacy regulations. When handling personal data:

• Obtain appropriate consent for data collection and processing
• Implement appropriate security measures to protect personal data
• Provide clear privacy notices to data subjects
• Honor data subject rights, including access, rectification, and deletion
• Report data breaches to relevant authorities and Maropost

Partners are responsible for their own data processing activities and must ensure compliance with all applicable laws and regulations.

Either party may terminate the partnership agreement at any time with 30 days' written notice. Maropost may terminate immediately if:

• You breach any material term of these Terms
• You engage in fraudulent or illegal activities
• You compete directly with Maropost's core business
• You fail to meet minimum performance requirements

Upon termination, you must immediately cease using Maropost's APIs and services, return all confidential information, and remove any Maropost branding from your materials.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAROPOST SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

MAROPOST'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO MAROPOST IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold harmless Maropost from any claims, damages, or expenses arising from:

• Your use of Maropost's APIs or services
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of applicable laws or regulations

These Terms shall be governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the Canadian Arbitration Association.
